How does it sound with and without the flapper mod?

With the resonator removed and the flapper open it is really loud....sounds amazing....very exotic sportscar-like.
With the resonator removed, and flapper closed it is still deep and throaty, but very muffled compared to when it's open...reminds me of the stock exhaust note on some of the bigger engined BMW's.

Is that fairly easy to do and do you think you would have any lets say dealer issues

It's a pain in the arse to find the correct wire to work with, but the rest of the install is really easy, and the parts will only cost you a few dollars. There are two very helpful threads that I used with pics and step by step instructions in the R32 DIY/FAQ.
The switch will not throw a check engine light, but it will throw a silent code that the dealer can see with a vag com. Both threads have instructions for installing a resistor in-line, which will eliminate that error code. Or, before you go to the dealer, you can just switch it into normal ecu operation mode, and the code will clear after a bit.

Very loud ... I had it done on mine and could not stand how loud it was.
Just get a different/smaller resonator. Much better than no resonator at all.

To each his own I suppose...I really like it...I could actually stand for it to be a little louder.
